Florida LLC for foreign owners: costs, public record and fit
Florida charges USD 125 to form an LLC and offers a coherent base when the company’s activity, team, customers or assets connect the business to the state.
A Florida LLC makes sense when Florida is part of the real business: the activity is directed there, customers are served there, an office or property is maintained there, or the company is building a U.S. operating base in the state. Forming in the jurisdiction where the company actually operates can avoid registering an out-of-state LLC in Florida later.
Florida combines a broad economy, access to U.S. financial providers and a well-known public company register. It also requires a more detailed public record than New Mexico, Wyoming or Delaware. That transparency does not weaken the LLC. It simply makes it important to decide which people and addresses belong on the public filing and keep them current.

The Florida Division of Corporations records the LLC, principal office, mailing address, Registered Agent and the people reported as managers or authorised representatives.
Florida uses the Annual Report to confirm and update that information. It helps to distinguish:
- principal office: where the business is directed;
- mailing address: where correspondence is received;
- registered office: the Registered Agent’s physical Florida address;
- managers or authorised representatives: people whose stated titles appear publicly;
- beneficial owners: the actual owners identified internally and to the relevant institutions.
An operating address may be outside the United States when it reflects the true activity. The Registered Agent, however, needs a valid physical address in Florida.
Florida LLC formation and annual costs
The required state formation charges total USD 125: USD 100 for the Articles of Organization and USD 25 for Registered Agent designation. A certified copy or Certificate of Status is optional and can be added when a bank, counterparty or transaction requires it.
The Annual Report currently costs USD 138.75 and is filed each year between January 1 and May 1. It is not a new tax return or a second formation. It keeps the state record active and updates public company data.
Use the Annual Report as a company review
A sound renewal does not copy last year’s details without review. Before filing, the company should confirm:
- legal name and Florida Document Number;
- principal and mailing addresses;
- contact email;
- Registered Agent and registered office;
- managers and authorised representatives;
- EIN or FEIN shown in the record;
- continuing activity and relevant internal changes.

Florida LLC ownership by a nonresident
U.S. citizenship or residence is not required to own a Florida LLC. A foreign member can form the company, obtain an EIN, enter contracts, invoice, open accounts and use payment processors.
Federal classification follows rules separate from the state filing. A one-member LLC generally starts as a disregarded entity and a multi-member LLC generally starts as a partnership unless it makes another valid tax election. - source of funds and expected volume.
