LLC for Amazon FBA: Seller Central, banking and sales tax

Build an Amazon FBA operation around one US LLC for brand ownership, suppliers, inventory, payouts, sales tax and annual company records.

Running an Amazon FBA business through a US LLC gives the seller one company for the brand, supplier contracts, inventory, payouts and annual records. Amazon does not require every seller to form an LLC, but a non-US founder often gains a cleaner operating foundation than selling personally: a legal business name, EIN, dedicated payout account and documents that can support growth beyond one marketplace.

The strongest setup does not start with a random filing followed by a rushed Seller Central application. It aligns five facts from day one: who sells, which entity Amazon verifies, who controls the account, where inventory is stored and where sale proceeds are paid.

What the LLC contributes to an FBA operation

Fulfilment by Amazon covers storage, picking, shipping, returns and part of the customer-service chain. The seller remains responsible for the company, product, brand, supplier evidence and any tax or regulatory obligations that apply.

A properly governed LLC can:

  • contract with manufacturers, sourcing agents and freight providers;
  • separate the owner's money from inventory capital;
  • receive marketplace payouts into a business account;
  • own the brand, domain and commercial assets;
  • record contributions, expenses, profits and distributions;
  • keep state and federal deadlines independent from Seller Central.

The LLC does not make a weak product profitable or replace product-safety and import work. It creates a company capable of carrying those activities under one verifiable identity.

What Amazon checks during seller registration

Amazon's current registration guide separates business information, seller information, billing, store details and identity verification. The legal business name must match the relevant public record. Amazon also distinguishes the company registration number from the EIN; they are not the same identifier.

An LLC file should therefore have the following ready:

The public store name may differ from the legal entity. That is useful for branding, but the website, invoices and policies should still identify the LLC that actually sells.

Payout banking for Amazon FBA

Amazon does not always require a US bank account. Its Currency Converter supports disbursement to eligible accounts and currencies outside the United States. A growing LLC may nevertheless benefit from a deliberate USD setup and, when it sells internationally, additional EUR or other-currency rails.

The selected account should answer three practical questions:

  1. Does it accept Amazon payouts under the configured beneficiary name?
  2. Can it pay suppliers, freight, advertising and software in the required currencies?
  3. Do its statements make each payout, reserve, fee and refund understandable?

FBA inventory and sales tax are separate layers

Amazon acts as a marketplace facilitator in states that have adopted those rules and generally calculates, collects and remits sales tax on facilitated sales when required. That removes a large collection burden, but it does not automatically close every state question.

Inventory placed in fulfilment centres may create a physical connection with one or more states. The seller may also have off-Amazon sales, older registrations, resale certificates, state income-tax exposure or information requirements that need their own analysis.

A useful review records:

  • states where FBA stores inventory;
  • other sales channels;
  • volume and transaction count;
  • product origin and customer destination;
  • whether the LLC buys for resale;
  • any employees, office or warehouse;
  • state registrations already open.

The answer is not to register in fifty states by default, nor to assume Amazon resolves everything. The right approach maps actual nexus and acts where the facts require it.

Supplier, imports and ownership of stock

Purchase orders, supplier invoices, quality checks, freight and payment should consistently identify the LLC. If goods enter the United States, the file should also identify the importer of record, Incoterm and documents accompanying each shipment.

Keep:

  • supplier invoice and purchase order;
  • proof of payment;
  • SKU, quantity and product description;
  • inspection or quality evidence when used;
  • freight and customs records;
  • FBA inventory movements;
  • Seller Central settlements;
  • removals, refunds and returns.

This chain protects margin and allows the seller to explain the operation to Amazon, a bank and the tax team without rebuilding it months later.

Do not collapse four systems into one

Seller Central manages the selling account. FBA manages fulfilment. The state maintains the LLC. The IRS determines federal classification and filing obligations. States apply their own nexus rules.

They are connected, not interchangeable. An EIN does not replace the state number; FBA does not maintain the LLC; a payout is not an invoice; marketplace sales-tax collection does not determine federal taxable profit.
