Sales tax nexus for SaaS and ecommerce with a US LLC

Connect physical presence, state thresholds, product taxability, customer destination and sales channels before registering or collecting sales tax.

A US LLC can sell software, subscriptions and physical products across the country without treating every order as a tax emergency. The first distinction is simple: sales tax is not federal income tax on the LLC's profit. It is a state and local collection system tied to particular transactions.

The state that formed the LLC does not decide the entire sales-tax footprint. A Wyoming LLC may have customers and obligations elsewhere; a New Mexico LLC does not become subject to every state merely because it sells online. The practical question is whether the business has enough connection with a state to register, collect and file tax on products that state treats as taxable.

That answer requires four facts to agree: physical presence, economic threshold, product classification and customer destination.

This framework avoids two expensive shortcuts. Registering everywhere “just in case” creates returns and administration that may never have been required. Ignoring state sales because the LLC has no US office overlooks economic nexus. A disciplined business measures first, documents the conclusion and registers where the facts support it.

Physical nexus and economic nexus are different routes

Nexus is the legal connection that allows a state to impose collection duties on a seller. Physical presence remains relevant. Inventory in a fulfilment network, a warehouse, an office, employees or certain in-state activities can create a state connection even when the LLC was formed elsewhere.

After South Dakota v. Wayfair, a state can also impose economic nexus on a remote seller without a local office. The Streamlined Sales Tax FAQ explains why remote sellers must review each state's rule rather than rely on one national threshold.

The Streamlined state tables show different dollar amounts, measurement periods and definitions of included sales. Some states have also removed transaction-count tests that once sat beside their dollar thresholds. A policy written several years ago may therefore be wrong even if the LLC's business model has not changed.

California, Texas and Florida do not measure the same thing

State examples are more useful than a generic “$100,000 rule” because they expose the variables that actually matter.

California

The California Department of Tax and Fee Administration applies its remote-seller rule when combined sales of tangible personal property delivered into California exceed $500,000 in the current or preceding calendar year. The guidance expressly reaches sellers located outside the United States.

Marketplace sales count when measuring the threshold. Under California's Marketplace Facilitator Act, however, the facilitator may be the retailer responsible for collection on the transactions it facilitates. That does not automatically cover the LLC's own Shopify, Stripe or invoiced sales.

Texas

Texas provides a safe harbor when a remote seller has less than $500,000 of Texas gross revenue during the preceding twelve calendar months. The Comptroller's remote seller FAQ includes taxable and nontaxable sales, resale and exempt transactions, related charges and marketplace sales in that threshold calculation.

The LLC therefore measures the Texas revenue definition first. Only then does it classify which part of the catalogue is taxable and identify the channel responsible for collection.

Florida

Florida uses a different base. The Florida Department of Revenue requires a remote seller to review registration when taxable remote sales exceeded $100,000 in the previous calendar year. Marketplace providers collect on taxable sales they facilitate, while direct activity remains a separate seller analysis.

“Gross Texas revenue”, “California tangible personal property” and “Florida taxable remote sales” are not interchangeable columns. A reliable nexus workbook preserves the state's own definition.

Design my international tax strategy

SaaS is not uniformly taxable across the United States

For physical ecommerce, classification often starts with tangible personal property. SaaS requires a closer reading of what the customer receives: a software licence, remote access, data storage, automated processing, digital content, professional expertise or a mixed package.

A contract for standardised software can be treated differently from advisory work delivered by professionals who happen to use a portal. The word “subscription” does not decide the tax treatment.

Texas treats SaaS providers as data processing providers

The Texas Comptroller's taxable services guidance includes software-as-a-service sellers and application service providers within data processing. Texas taxes data-processing services while exempting 20% of the charge. The product classification and taxable base must therefore be configured intentionally.

Texas separately explains that entering, storing, manipulating or retrieving a customer's data is data processing, while a professional service does not become taxable merely because the provider uses a computer. The official data-processing publication focuses on the substance of the deliverable.

Washington taxes several digital product categories

Washington generally taxes prewritten software, remote access software and specified digital automated services, subject to the state's exclusions and exemptions. Its digital products guidance also uses destination-based rules that examine where the customer receives or uses the product.

Washington changed the treatment of several services from 1 October 2025, including stated rules for custom software and customisation. A product matrix therefore needs an effective date and an official authority, not a permanent toggle copied from an old checkout configuration.

A marketplace facilitator handles a channel, not the whole business

Amazon, Etsy and other marketplaces may collect and remit tax on facilitated transactions. That is operationally valuable, but it does not erase three separate questions:

  1. Do marketplace sales count towards the LLC's state threshold?
  2. Does the LLC also make direct sales through its website, processor, app or invoices?
  3. Has inventory, staff or another activity created physical nexus independently?

Consider an LLC with $420,000 sold through Amazon and $110,000 through Shopify. Looking only at Shopify understates the threshold calculation in states that include marketplace sales. Looking only at Amazon overlooks direct-sale collection duties. The reports must preserve both channels and show which party collected each amount.

The transaction data a growing LLC needs

An annual revenue total is not enough to support a state conclusion. Each transaction should be capable of showing:

  • sale and refund dates;
  • gross amount, discount, shipping and net amount;
  • product, SKU and tax classification;
  • destination state and supporting address evidence;
  • marketplace, direct website, app, invoice or reseller channel;
  • B2B or B2C status and any valid exemption certificate;
  • tax collected and the party that collected it;
  • contractual currency and the USD ledger conversion;
  • processor transaction and payout identifiers without treating the payout as the sale.

A Stripe deposit can combine sales, fees, chargebacks and refunds from several days and states. Marketplace settlement reports and processor-level exports need to remain available before accounting compresses them into one bank entry.

A sales-tax process built to scale

Map presence

List employees, material contractors, premises, inventory, fulfilment locations and in-person activity. This identifies physical nexus before any threshold calculation.

Build the product catalogue

Describe what each SKU or plan actually delivers: physical property, remote software, data processing, professional service, course, licence or a bundle. Contracts, invoices and checkout labels should tell the same story.

Measure by state and channel

Use each state's measurement period and preserve direct, marketplace, gross, taxable, exempt and refunded sales separately. Monitoring should flag an approaching threshold before the business crosses it.

Record the decision

For every material state, retain the rule checked, effective date, physical facts, measured amount, product treatment, collecting party and conclusion. A documented decision not to register can be as important as a registration.

Register and configure deliberately

Where a duty exists, obtain the permit, set the correct products and destinations in the commerce stack and establish the filing calendar. Collection is not complete until the money and return reach the state correctly.

Review when the business changes

New products, warehouses, hires, markets or channels can change the map. Monthly sales monitoring and an event-driven review keep compliance proportionate to growth.

Three models, three different answers

International B2B SaaS. A US LLC sells analytics software with no US team or premises. Texas may classify its subscription as data processing; Washington may treat it as remote access software. Customer use and state revenue matter. That conclusion cannot simply be copied to California or Florida.

Amazon FBA plus Shopify. Distributed inventory brings physical presence into the analysis. Amazon may collect on marketplace orders, while the LLC measures all relevant sales and configures direct Shopify transactions where required.

Consulting supported by online tools. Digital documents and automation do not automatically turn professional advice into SaaS. The analysis follows what the customer buys and whether the technology is a separately sold deliverable.

Sales tax does not replace the federal LLC analysis

A foreign-owned single-member LLC may have federal information returns even when it has no state sales-tax registration. It can also cross a state economic-nexus threshold without that fact, by itself, changing its federal classification or proving a US trade or business and effectively connected income.

Form 5472, a pro forma Form 1120, Form 1065, owner income tax and sales tax answer different legal questions. They use some of the same commercial data, but a state permit does not settle the federal file.

One state map for the LLC's real sales
