Florida LLC Annual Report: managers, addresses and deadline

A Florida LLC Annual Report is the state record's yearly refresh. It tells the Division of Corporations where the company is based, which person has authority to manage it, which Registered Agent accepts legal service in Florida and whether the federal tax identifier on file is current.
It is not an income return and it is not a balance sheet. The distinction matters because the information submitted becomes publicly available on Sunbiz. A careful filing should therefore start with governance and address accuracy, not with a rushed payment on the last day of April.

For 2026, Florida has published a precise cut-off of 11:59 p.m. EST on Friday, May 1, 2026 before the late fee is assessed. The date should be checked against the current Sunbiz notice each year rather than copied from an old reminder.
An LLC formed or made effective after January 1 does not file an Annual Report in that same calendar year. Its first report is due during the next filing window. This is especially relevant for year-end formations: the effective date, not an informal launch date, determines the first state cycle.
What Florida is actually asking the LLC to confirm
Section 605.0212 of the Florida Statutes sets out the statutory information. The online instructions then explain how each field is maintained. Read together, they produce a straightforward corporate checklist.
Entity name and document number
Sunbiz identifies the company through its Florida Document Number and the legal name already on record. The Annual Report cannot be used to rename the LLC. A legal-name change requires the appropriate amendment, so it should never be hidden inside a routine renewal.
Principal and mailing addresses
The principal office is the company's main business address. The mailing address is where correspondence is received and may differ; a P.O. Box is acceptable for the mailing field.
Neither address should be treated as a synonym for the Registered Agent's office or the owner's tax residence. Sometimes the same address legitimately serves more than one purpose, but the filing should never create that result by default. The correct question is what each address represents in the actual business.
Federal Employer Identification Number
The Annual Report can add or update the FEIN. Sunbiz instructs filers to enter the company's nine-digit federal number and never a Social Security Number. If the record still says Applied For, the issued FEIN must be supplied before proceeding.

Managers, authorised members and other principals
Florida requires the name, title or capacity, and address of at least one person with authority to manage the company. The state interface may use titles such as MGR or AMBR, together with other recognised capacities.
That public entry should follow the LLC's real governance. Four checks are essential:
- Does the person still hold authority on the filing date?
- Does the title match the Operating Agreement and current resolutions?
- Is the public address still accurate?
- Has a new appointment, resignation or change of authority been documented?
Ownership and management are not interchangeable. A member may hold an economic interest without acting as manager. A manager may have authority without owning the LLC. The report should not list every owner as a manager by habit, nor should it omit the person who genuinely directs the company.
Registered Agent and registered office
The Registered Agent must maintain a physical street address in Florida; a P.O. Box is not sufficient for the registered office. When a new agent is appointed through the report, that agent must accept the role by signing electronically.

- the principal office reflects the company rather than an unrelated address;
- the mailing route is reliable;
- the Registered Agent's Florida office is used only for its statutory function;
- the public principal list reflects actual authority;
- personal details are not repeated where a valid business record serves the field.
If a manager's residential address is currently public but a valid business address should replace it, the supporting records are aligned first. If a former manager is still listed, the resignation and successor authority are documented before Sunbiz is changed. Accuracy provides stronger protection than an artificial omission.
A renewal that does not repeat onboarding
The owner should see a pre-filled review, not a blank formation questionnaire. A sound annual workflow displays:
- legal name and Florida Document Number;
- formation or registration date;
- current state status;
- principal and mailing addresses;
- Registered Agent and registered office;
- confirmed FEIN;
- principals currently visible on Sunbiz;
- contact email;
- filing year, due date and state fee.
The choice can then be simple: Everything remains correct or I need to report a change. Only the affected fields open. Where a change requires a resolution, Operating Agreement amendment or separate state instrument, that work is completed before the Annual Report is submitted.
This approach keeps one reliable company record and removes unnecessary requests for passports, bank statements, processor exports or federal tax documents. Those items may matter elsewhere, but they do not belong in a Florida state identity filing merely because another year has passed.

No corporate changes

The ordinary USD 138.75 fee becomes USD 538.75 after May 1 because Florida adds a USD 400 late fee. This is the amount currently shown in the official LLC fee schedule.

The practical response is to verify the live status, identify the missing cycle and use the official filing or reinstatement route. Does every Florida LLC file one?
Domestic LLCs and foreign LLCs registered to transact business in Florida file annually. A company formed or effective after January 1 starts in the following calendar year.
Is the USD 138.75 fee the Registered Agent renewal?
No. It is the state filing fee. Registered Agent service is separate even when both are coordinated in one annual maintenance programme.
Must every owner appear on Sunbiz?
